1. Definitions
- "Client/You”: Any business or user accessing GNetra.
- "Device”: The passive WiFi/BLE tracker installed on premises.
- "Data”: Anonymous device metadata, timestamps, RSSI, dwell time, and movement analytics.
- "Dashboard”: The analytics platform provided by GNetra.
- "Confidential Information”: All proprietary information of Graphiti.
2. Description Of Service
GNetra provides:
- Passive WiFi/BLE-based footfall tracking
- Dwell time analytics
- Heatmaps for movement visualization
- Footfall trend dashboards and API integrations
GNetra does NOT identify individuals.
3. License & Permitted Use (Eula Section)
You receive a limited, non-exclusive license for internal business use only.
You may NOT:
- Reverse engineer hardware/firmware/software
- Modify, sublicense, or resell the system
- Use for personal surveillance or identification of individuals
4. Data Collection & Privacy
- Only anonymized metadata is collected.
- No personal identity or user content is captured.
- Processing follows Graphiti’s Privacy Policy.
- Client must comply with signage/notice requirements when applicable.
5. Client Responsibilities
Client agrees to:
- Provide required network and power
- Prevent device tampering
- Maintain login confidentiality
- Use analytics ethically and lawfully
6. Service Availability
We do not guarantee:
- Zero downtime
- Zero packet loss or network interference
- Perfect accuracy in high-noise RF environments
Maintenance may affect access.
7. Payment & Billing
- Subscription fees must be paid on schedule.
- Delayed payments may suspend dashboard access.
- No credit/debit card information is stored.
8. Intellectual Property
All algorithms, firmware, code, dashboards, and hardware designs remain Graphiti’s property.
9. Confidentiality
Both parties agree not to disclose:
- Proprietary analytics logic
- Internal algorithms
- Technical documentation unless authorized
10. Limitation Of Liability
Graphiti is NOT liable for:
- Business or revenue loss due to analytics
- Device failure due to environment
- Indirect or consequential damages
Liability cap = amount paid in last 12 months.
11. Indemnification
Client indemnifies Graphiti for damages arising from:
- Misuse of data
- Illegal use cases
- Device tampering or unapproved alterations
12. Termination
Graphiti may terminate service for:
- Misuse
- Non-payment
- Policy violation
Upon termination:
- Dashboard access ends
- Devices may be deactivated or collected
- Data may be anonymized or deleted
13. Warranty Disclaimer
Service is provided “AS IS” without warranty:
- No guarantee of perfect accuracy
- No guarantee against RF interference
- No guarantee of uninterrupted uptime
14. Compliance With Law
Client must comply with:
- Local data protection laws
- Signage requirements (if required)
- Applicable consumer and privacy regulations
15. Changes To Terms
Graphiti may update this document. Continued use = acceptance.
16. Governing Law
Jurisdiction: Courts of India, location to be specified (e.g., Bengaluru/Mumbai).

End-user License Agreement (Extended Section)
A. Software License
- Non-transferable, non-commercial use
- No code access or firmware extraction allowed
B. Hardware Usage
- Graphiti retains ownership unless contract states otherwise
- Unauthorized opening/repair voids warranty
C. Data Handling
- Only anonymized statistical data may be exported
- No reverse matching to identify individuals
D. Security
- Client responsible for physical security of devices
- Graphiti responsible for backend data security
E. Updates
- Firmware and dashboard updates may occur automatically
F. Support
- Support provided per contract (email/remote assistance)
